Governance

The AYEI is governed by an Executive Board made up of student members and an Advisory Board made up of student members and community members.

Executive Board: The Executive Board consists of at least nine AASD student members elected by the current Executive Board each May. There are no term limits for as long as the Executive Board Member is enrolled as a student in the AASD. AYEI has an objective, but not an obligation, to have equal representation from each of the three AASD high schools represented on the Executive Board. The Executive Board is primarily responsible for the planning, creation, and implementation of the organization’s programs and projects. The Executive Board, from time to time, shall also review the makeup and size of the student membership. The Executive Board will meet at such times and places as it deems suitable and will elect such officers as it deems necessary. The Executive Board may also create standing or special committees to assist in the planning, creation, or implementation of its programs or projects. Meetings of the Executive Board and its committees are open to all AYEI members.

Advisory Board: The Advisory Board consists of the members of the Executive Board and no fewer than six and up to twelve Community Members enlisted from the business, education, non-profit, and government sectors of the Appleton area community. Initial Community Members of the Advisory Board members were elected by consensus. Additional or replacement members may be nominated by any Executive or Advisory Board member and shall be elected by a majority vote of the Advisory Board. Terms are non-specific.

The primary role of the Advisory Board is to advise and assist the Executive Board in the planning, creation, and implementation of the organization’s programs and projects. The Advisory Board shall have no formal powers except to approve expenditures made from the organization’s fund. All grants and other expenditures made by the AYEIF shall require approval by a majority of a quorum of the Community Members of the Advisory Board. A majority of the Community Members of the Advisory Board shall constitute a quorum.

Meetings of the Advisory Board shall be held at least once every two months and more often as deemed necessary by the Executive Board. At least five business days prior to each meeting, the Executive Board shall send a notice of meeting together with an agenda and minutes of the last meeting to each member. In the event the Executive Board deems it impractical to convene a quorum of the Community Members of the Advisory Board for the approval of an expenditure from the fund, a meeting of the Advisory Board may be held telephonically/virtually.

Amendment
Any amendment of the Advisory Board’s authority requires a majority vote of both the Executive Board and the Community Members of the Advisory Board.
